This release (the “Release”) is made to allow Latino Broadcasting Company (“LBC”) to include me as a guest in an interview or performance (the “Performance”) in the above-mentioned LBC production(s) (the “Show”) and/or all the mediums now known and hereinafter devised including, without limitation, television, radio, print media, Internet (including, without limitation, “streaming”, “downloads”, “webcasting”, and video “on demand”) and mobile and wireless services (including, without limitation, “streaming”, “downloads”, “podcasting”, and “wireless media”) (collectively the “Media”). I recognize that my signature on this Release is a condition of your permitting me to be a guest in the Show, and for use of my name, likeness and voice in connection with the Show.

I agree that you may video-tape, tape and photograph me and record my voice, and conversation including quotes, paraphrases and sounds, image and likeness, during and in connection with the Performance (collectively the “Materials”) and distribute the Materials in all media now known or hereafter discovered or developed including, without limitation the Media (as defined above). I also agree that you shall be the exclusive owner of all copyrights and other rights in and to my Performance in the Show and the Materials and will be able to use them and to license other to use them, in the Media, in perpetuity and throughout the world, in any manner you wish.

I further agree that you may use and license others to use the materials or excerpts thereof, and my name, voice, likeness and any biographical facts for promotional and commercial purposes in relation or connection with the Materials and/or Show and in any related or derivatives versions and/or uses of the Materials and/or Show and in the advertising, marketing and promotion of LBC in the Media, in perpetuity and throughout the world, represent and warrant that any statements made by me during the Performance will be true and will not violate or infringe upon any third party’s rights.

I hereby agree that the promotional value of appearing in the Show is good and valuable consideration for my participation in the Show as guest and/or performer/presenter, and the rights granted and waived hereunder, and I shall not be entitled to any additional compensation. I also understand and agree that this Show is a non-guild production and there will be no residual or any other type of payment due in connection with my performance.
I hereby represent and warrant that my participation in the Show as guest is not part of any collective bargaining agreements that might be applicable. Furthermore, I will agree to indemnify and hold harmless LBC from any claims, which might be asserted by any syndicate, union or guild in connection with the Show.

I shall indemnify and keep indemnified LBC, any distributor of the Show and/or Materials, and their officers, directors, employees, agents and licensees of such parties against any and all claims, damages, loss (whether foreseeable or not), liabilities and expenses (including reasonable legal fees) arising from any warranty, representation, and/or any of breach of any obligations made by me under this Release. I acknowledge and agree that LBC rights in the Materials, Show, Performance and/or any other right of LBC under this Release may be freely assigned and licensed and any such assignment or license shall be binding upon me and my successors and inure to the benefit of such assignee or licensee. I acknowledge that I shall have no right to assign this Release or delegate in any way whatsoever my obligations hereunder to any third party.

The validity, construction and interpretation of this Release shall be governed, construed and enforced exclusively in accordance with the laws and decisions of Florida. Jurisdiction and venue for any legal proceedings arising out of this Agreement shall exclusively lie in the state and federal courts situated in Miami, Florida.
